This seminar aims to give accounting professionals an overview of various corporate actions common for Hong Kong private companies, from a legal practitioner and company secretarial perspective. We will discuss the procedures, authorization, and documentation requirements for the captioned corporate actions. In particular, we will examine frequent asked legal questions from accounting professionals that arise during tax-driven corporate group re-organizations, such as the distribution of non-cash dividends, the timing of transfers of legal title and amalgamations of group companies at different levels of the corporate group umbrella.
The speaker is a member of the Deloitte Legal Hong Kong team, and frequently works together with accounting and finance professionals in assurance, consulting, financial advisory, tax and other specialties as part of multi-disciplinary teams on various corporate and commercial matters.
