About the Seminar:

As more and more corporate scandals are exposed whether by regulators or other interested parties it is now common place for the Audit Committee of the day to organize and supervise an independent review committee to look into allegations of fraud or illegality with a view to finding out the facts and recommending positive remedial actions including legal action to recover stolen assets and to prevent future loss.

The objective of this seminar is therefore to consider:

A. Practical and legal considerations affecting the function and operation of an independent committee to investigate allegations of fraud and illegality from the prospective of a company director; an auditor and a member of the Audit Committee.

B. The common law principles governing the fiduciary duties of a company director , in the prevention and detection of fraud, protection of assets and recovery of stolen assets and related litigation issues.

C. Duties and responsibilities of members of Audit Committee in the context of fraud risk management as an essential element of enterprise risk management framework.

D. How to conduct effective independent internal investigation by the Audit Committee or an ad hoc Independent Committee by reference to recent cases such as Sino Forest and Olympus and selected PRC companies listed in USA, Canada Singapore, Hong Kong and PRC.
