About the Seminar:

This seminar covers two sections. The first section is an experience sharing on the significant impacts of the new Hong Kong Companies Ordinance (which has been in force for over 2 years) from the company secretary’s perspective. The speaker will, in particular, share his great insight in the non-application of the prohibition of corporate directorship to Hong Kong-incorporated members of a group of companies, which comprises a listed company in Hong Kong. The second section is an experience sharing on the effect of the New Companies Ordinance relating to share registrars. The agenda of this seminar is as follows:-

About the Speakers:

Mr Seaman Kwok Siu Man, Head of Corporate Secretarial of Boardroom Corporate Services (HK) Limited and Director of Boardroom Share Registrars (HK) Limited

Seaman has over 25 years' extensive legal and corporate secretarial experience gained at reputable companies overseas and in Hong Kong (including Hang Seng Index Constituent stock companies). Moreover, he was the managing director of a top-notch financial printer and an independent non-executive director of a company listed in Hong Kong and is the vice-chairman of a charitable fund.

Seaman is a fellow member of each of The Institute of Chartered Secretaries and Administrators and The Institute of Financial Accountants in England, the Institute of Public Accountants in Australia, The Hong Kong Institute of Chartered Secretaries ("HKICS"), The Association of Hong Kong Accountants and The Hong Kong Institute of Directors and possesses professional qualifications in securities & investment, arbitration, taxation, etc. In addition, he holds a bachelor's degree of arts and a post-graduate diploma in laws and has passed the Common Professional Examinations in England and Wales. In 1999, he was named in the International WHO's WHO of Professionals.

Seaman was the longest-serving council member of HKICS and the chief examiner of “Hong Kong Company Secretarial Practice" of its international qualifying examinations. He has been instrumental in making the regulators (including the Stock Exchange) review and amend the Listing Rules in many respects since the mid-2000’s.

Ms Ada Lai-Fock (a.k.a Chan Siu Mui Ada), Head of Share Registry Services, Boardroom Share Registrars (HK) Limited

Ada has about 25 years of extensive experience in share registry services gained from various reputable share registrars in Hong Kong. She has handled more than 200 IPO projects and provided share registry services to numerous blue chips, red chips, PRC state-owned enterprises and other companies listed on the Main Board and GEM Board of the Hong Kong Stock Exchange.

Prior to joining Boardroom, she held executive roles in Secretaries Limited (a wholly-owned subsidiary of Deloitte Touche Tohmatsu), Hong Kong Registrars Limited (“HK Registrars”)(a wholly-owned subsidiary of Hong Kong Securities and Clearing Company Limited which in turn is a member company of HKEx) and Computershare Hong Kong Investor Services Limited. During the period she worked for HK Registrars, she was also responsible for handling stock admission into CCASS for deposit, clearing and settlement.

She is an Associate of both The Hong Kong Institute of Chartered Secretaries and the Institute of Chartered Secretaries and Administrators in England and holds a MBA from Heriot-Watt University (UK).

Completed CPD hours will be granted to attendees who have attended a full session of seminar. For those who have not attended full session, the number of CPD hours will be discounted accordingly. For the exact recognition of the CPD hours, please check with the respective Institute or Association.
