Highlights of significant changes in the new Companies Ordinance

About the seminar:

After a major and thorough review that went on for years, the Companies Ordinance has finally been reformed and modernized. The new Companies Ordinance will come into operation in the first quarter of 2014 after enactment of all subsidiary legislation. There are some significant changes, including but not limited to the abolition of par value of share capital, requiring a local private company to have at least one natural director, requirement regarding prohibited transactions for approval of disinterested shareholders, special arrangement relating to the personal information of directors and secretaries in public records. All the above changes have great impact for accountants and company secretaries when they provide professional services to their clients.

About the speaker:

Ms Lennie Lam is a fellow member of Hong Kong Institute of Chartered Secretaries (practicing) and she holds a master's degree in law. She has over 20 years of extensive and solid experience in Company Secretarial practices in Hong Kong and commercial services in China. Her solid training and qualification in law has further strengthened her capability to provide all-round professional advice to investors and business operators in Hong Kong and China.

She is Director of Excellent Corporate Services Limited ( ECS ), a well established and reputable company secretarial service provider in Hong Kong, and also participates in managing ECS's Chinese Subsidiary. She is well positioned to provide value-adding consulting services to facilitate Hong Kong and overseas investors to enter the enormous China market, and assist Chinese clients to reach out to overseas market. She has been invited to speak at seminars organized by the Hong Kong Economic College and Association of Beauty.


1) Those interested are requested to register on-line by filling in the below enrolment form on the website. Acceptance will be on a first-come-first-served basis.

2) Successful enrolments will be confirmed by email. Unsuccessful applicants will be automatically placed on waiting list; they will be called up in the order of time of receipt of registration when vacancies arise.

3) Applicants may also check their registration status on ARC website using the same membership number of their professional affiliation when they register.


1) After receiving our Confirmation, you can either pay cash or cheque for admission at location.

2) If pay by cash, please present the Confirmation with your cash payment when you attend the seminar.

3) If pay by cheque, please make cheque payable to Accounting Development Foundation Limited. Write down your name and Enrolment ID number on the back of the cheque and submit it with the Confirmation when you attend the seminar.

Seat Accommodation:

Please note that seats accommodation for accepted participants will be reserved until 15 minutes after the seminar starts. Seats may not be available for participants who are late for over 15 minutes.

CPD Hours:

For those participants who have not attended the full session, the number of CPD hours will be discounted according to the actual time of attendance. Completed CPD hours will be granted to attendees who have attended the full session. For the exact recognition of the CPD hours, please check with the respective Institute or Association.

Bad Weather Arrangement:

The event may be cancelled or re-scheduled when typhoon no.8 or black rainstorm warning is hoisted. Please refer to our website for the arrangement.
